GENERAL TERMS OF BUSINESS - Business Coaching and Mentoring Programmes

PROGRAMME
CO-ORDINATOR:

David Winch will be the co-ordinator for all services delivered by himself or any trusted associate as part of a Business Coaching and Mentoring Programme.

PROGRAMME SERVICES:

A twelve-month programme consists of a selection of monthly workbooks, monthly conference calls, conference call recordings, quarterly workshops, personal coaching calls, coaching call recordings, email support during each month and membership of an exclusive on-line forum, depending upon the level of programme membership purchased.  The annual fee covers all the elements in the selected membership level.  There are no other charges.  Members at lower levels can upgrade at any time on payment of the appropriate additional fee.

FEES:

For all levels of membership of a Business Coaching and Mentoring Programme, the annual fee is payable in full, as soon as possible, before the start of the programme.

Generally, payment will be by credit, debit or charge card.  You will be contacted by telephone as arranged, and card details will be taken in order to process this payment via instant entry into a secure online payment processing system.  At no time will we ever make a permanent record of your details.  A receipted VAT invoice will be issued as soon as possible after the transfer of funds is concluded.

WITHDRAWAL FROM THE PROGRAMME:

Sustained change takes time.  While members will almost certainly enjoy immediate results, it is important for them to realise that they have embarked on a twelve-month journey and occasionally, members experience a “low-point” around months 3 - 6.  This is not unusual.  Nevertheless, we request that members commit wholeheartedly to the programme as continuous evaluation can become just another distraction from achieving results.  If circumstances change and a member needs to withdraw, that is acceptable, but please note that there are no refunds.

It is not possible to allow fee-breaks to be taken during the year unless by prior arrangement for exceptional reasons.

YOUR CONTROL:

All advice given will be to assist you, your fellow Directors and your personnel to make decisions.  No decision will be ever be made for you or on your behalf.  We will give any necessary advice or assistance in giving you the information to make a decision, but the final decision will always rest with the Directors of the Client company.

YOUR RESPONSIBILITIES:

Whilst every effort and care will be made and taken in providing information, advice and assistance, the application and dedication of the member is crucial to the successful outcome of any programme.  Neither David Winch nor any other trusted associate can accept any liability for any situation where this is not so.

LIABILITY:

In the event of a dispute relating to the professional standards, errors or omissions in any advice provided, liability is limited to the amount of the fee paid by the member.

NO AGENCY:

Nothing in these terms shall render David Winch an employee or agent of the member or vice versa.  No mutual obligation is created as between us.  It is the intention of the parties that no employment relationship or agency relationship is created.

LAWS:

These terms shall be construed in accordance with and governed by the laws of England.

VARIATION:

Variations of these terms can only be negotiated prior to starting any programme and must be confirmed in writing to be accepted.

GENERAL TERMS OF BUSINESS - Business Development Projects and Retainer Agreements

ASSIGNED ADVISOR:

David Winch will be the co-ordinator for all services delivered by himself or any trusted associate, and confirms his commitment to answer within a reasonable time any questions, queries or problems concerning your business which fall within the scope of any current Business Development project or Retainer Agreement.

SERVICES:

The services (to be) delivered are outlined in the attached invoice (proposal).

FEES:

For a Business Development project, 50% of the fee is payable before work starts and the remaining 50% one month later.  A 5% discount is available for payment in full before work commences.  For a Retainer Agreement, fees are payable quarterly in advance.

Invoices from David Winch are payable within 24 hours of presentation by BACS transfer (initiated before the close of the business day following the day of receipt of the invoice).  David Winch reserves the right to charge interest on overdue accounts at a daily rate of 2% above the Bank of England base rate.  Bank and VAT details are shown on all invoices.  Requests to pay by cheque or credit/debit card must be made in advance of any invoice.

Whilst every effort and care will be made and taken in providing advice and assistance, the information and documentation provided by the Client company is crucial to the successful outcome of this project.  Neither David Winch nor any other trusted associate can accept any liability for any situation where partial or incorrect information is provided and where subsequent advice is therefore based on erroneous information rather than factual evidence.

David Winch and any other trusted associate will separately use their best endeavours in every situation as appropriate, but the total responsibility for any projects, systems, procedures and documentation remain with the Client company and its Director(s).

LIABILITY:

In the event of a dispute relating to the professional standards, errors or omissions in any advice provided, liability is limited to the amount of the fee paid by the Client company for the specific task to which the dispute relates.
